Service Relationship and Token Awards Supplement

To the extent that (i) you provide any services to the Company related to the Quai Testnet, (ii) you are not an employee of the Company and (iii) you and the Company have not executed and delivered a written agreement related to your service relationship with the Company (or such agreement has expired or terminated), you hereby agree that such services are being provided pursuant and subject in all respects to the Consulting Agreement (the “Consulting Agreement”), which is attached hereto as Exhibit A.
Furthermore, to the extent that (i) you will receive any tokens (the “Tokens”) pursuant to such Consulting Agreement or otherwise as indicated by the Company in a written notice to you and (ii) you and the Company have not executed and delivered a written agreement related to your receipt of the Tokens prior to your receipt of the Tokens, you hereby agree that your receipt of the tokens shall be pursuant and subject in all respects to (1) the Company’s 2022 Token Incentive Plan attached hereto as Exhibit B, as approved by the Company’s Board of Directors and stockholders on July 25, 2022 and (2) the Company’s Unrestricted Token Award Agreement attached hereto as Exhibit C.
